Primary and noncontributory (P&NC) is one of the most common contract requirements in commercial insurance — and one of the most confusing for clients and newer agents. Understanding what it means and how to comply with it is essential for agents who work with contractors, vendors, and anyone who signs commercial contracts.
When a policy is designated as primary with respect to a specific additional insured, it means that policy responds first to any covered claim before any other insurance the additional insured has. Without a primary designation, each insurer may argue the other's policy should respond first — causing delays and disputes at claim time.
Noncontributory means that the named insured's policy will not seek contribution from the additional insured's own insurance. Without noncontributory language, the named insured's insurer could demand that the additional insured's insurer share in paying the claim — which defeats the purpose of requiring the additional insured endorsement in the first place.
A property owner who requires their contractors to name them as additional insured wants to know that: (1) the contractor's policy will respond first, and (2) the contractor's insurer won't try to pass the cost back to the property owner's own insurance. The primary and noncontributory requirement accomplishes both goals.
Most standard GL policies require a specific endorsement to make coverage primary and noncontributory with respect to a specific additional insured. The standard ISO endorsement is CG 20 01. Some carriers include this language in their blanket additional insured endorsement; others require a separate endorsement.
Agents must confirm that the endorsement is actually added to the policy — not just noted on the certificate. A certificate that says "primary and noncontributory" without the underlying policy endorsement does not create the coverage.
